  • Scope and Acceptance of the Terms and Conditions

 

These General Terms and Conditions of Sale and the order summary provided to the Customer constitute a single contractual agreement and represent the entirety of the contractual relationship between the parties.

In the event of any conflict between these documents, the General Terms and Conditions of Sale shall prevail.

Any order for a Product offered on the Site implies that the customer has read and expressly accepted these terms and conditions of sale. Confirmation of the order form as mentioned in Article 6.2. constitutes an electronic signature that, between MEDIWEB and the Customer, has the same legal validity as a handwritten signature and serves as proof of the completeness of the order and of the due and payable nature of the amounts owed in connection with said order.

   2. PRODUCTS:

Only the Products listed on the Site on the day the Customer visits it are available for sale.

Product offers are valid while supplies last. If any of the Products are unavailable, the Customer will be notified upon receipt of the corresponding invoice via email, as specified in Article 6.3.

The Products are intended for the Customer’s personal use and are not directly related to the Customer’s professional activities. In this regard, the Customer’s attention is specifically drawn to the fact that the total amount of each order must not exceed €1,500. The Customer is encouraged to review the description of each Product to learn about its features.

Orders placed through the website imply full acceptance of these Terms and Conditions. The member acknowledges that they have read and accepted the rights and obligations set forth herein.

    3. PRICE:

Prices are listed in euros, inclusive of all taxes, excluding processing and shipping fees (see the "Pricing and Shipping Terms" section), which will be disclosed to the Customer before the order is confirmed.

The Value-Added Tax is the tax in effect in France.
Prices are subject to change at any time. The prices charged are those listed on the Website at the time of the order.

The sale price, including the cost of the Products and the processing and shipping fees, is the amount shown on the summary order form in the first step of the final confirmation process (Section 6.3).

4. Retention of title

MEDIWEB retains full ownership of the products sold until full payment has been received, including the principal amount, fees, and taxes.

5. Data Protection:

Personal information is collected by Mediweb for the purpose of managing the relationship with the Customer.

In accordance with the French Data Protection Act No. 78-17 of January 6, 1978, the Customer has the right to access, correct, and object to the processing of their personal data. To exercise this right, the Customer must contact our Customer Service department by mail (MEDIWEB, PO Box 30026 – 33601 Pessac Cedex) or by email using the contact form.

The Site uses cookies. A cookie is a small text file stored on the Customer’s computer’s hard drive. Its purpose is to recognize the Customer’s previous visit to the Site. MEDIWEB uses cookies solely to personalize the service provided to the Customer.

The Customer may choose to block cookies by adjusting their web browser settings. However, doing so will prevent them from customizing the service provided by MEDIWEB.

    6. THE ORDER:

 6.1. Registration:

The Customer selects the Products of their choice by clicking "Add to Cart"

At any time, the Customer may:

  • check the quantity and details of the Products in their shopping cart, displayed under the "My Cart" icon
  • Continue shopping by clicking the "Continue Shopping" button
  • Complete your order by clicking the "Order" button.
    Customers who already have an account must log in by entering their email address and password.

To create an account, the new Customer must complete the form provided, entering the information required for identification, including an email address and a password of their choice (personal and confidential), which they will use later to log in to the Site.

The Customer is informed and agrees that entering these two credentials serves as proof of identity, provided that each email address is assigned to a single account.

After reviewing the Order and providing all the requested information, the Customer must read and accept the Terms and Conditions of Sale in order to proceed to the next page, which they confirm by checking the box provided for that purpose.

The Customer can edit the information entered on this page.

6.2. Order confirmation:

The Customer clicks "Confirm Order" to confirm their order.

The confirmation of the summary purchase order constitutes an electronic signature. Between MEDIWEB and the Customer, this signature has the same legal weight as a handwritten signature and serves as proof of the completeness of the Order and of the due and payable nature of the amounts owed in connection with the Order.

Once the Customer has confirmed the Order, they become a buyer.
MEDIWEB may not approve the order, particularly in the following cases:

  • total or partial non-payment of a previous order placed by this Customer
  • Customer's banking incident
  • an abnormal order, particularly one that exceeds the thresholds set forth in Article 2 of these Terms and Conditions.
  • In the event of force majeure (Article 13)

6.3. Order confirmation:

Once payment has been made in accordance with the terms set forth in Article 7 below, an order summary will be sent to the Customer at the email address provided, no later than the time of delivery.

This document serves as an acknowledgment of receipt and sets forth all the terms of the contract between MEDIWEB and the Customer, including the exact amount billed and the delivery terms, as well as a return form (withdrawal notice (Article R.121-1 of the Consumer Code)) to be completed only if the product is returned.

The purchase order is recorded in MEDIWEB’s records, which are stored on a reliable and durable medium. The Customer agrees that MEDIWEB’s order recording systems shall serve as proof of the contractual relationship (nature of the contract, date, etc.).

If a Product is out of stock, the Customer is notified at the time of ordering.

Monthly Subscription Service – AUDISTIMPHARMA

SUBJECT

These General Terms and Conditions of Sale (GTC) govern sales made on the AUDISTIMPHARMA website, particularly in connection with the purchase of a monthly subscription to products from the AUDISTIMPHARMA range.

By placing an order, you fully and unconditionally agree to these Terms and Conditions.


PRODUCTS

The products offered are dietary supplements designed to support hearing and cognitive health, as well as sleep quality and ENT health.
The products sold are not drugs and are not a substitute for medical treatment.

MONTHLY SUBSCRIPTION

1. How it works

With a subscription, customers automatically receive the products they selected when placing their order on a monthly or quarterly basis.
Deliveries are made monthly or quarterly unless otherwise specified on the website.

2. Automatic renewal

The subscription is for an indefinite term and is automatically renewed on a monthly or quarterly basis.
The customer authorizes a monthly direct debit for the amount of their subscription.

3. Modification or Termination

The customer can:

- suspend,

- edit,

- or cancel your subscription at any time through your customer account or by email.

The request must be made at least 4 days before the next payment date.

Any payment already collected remains due and will be processed.

PRICES

Prices are listed in euros, including tax.
AUDISTIMPHARMA reserves the right to change its prices at any time.
However, the price charged will be the price in effect on the date of the monthly debit.

PAYMENT

Payment for subscriptions can be made by:

- credit card,

- secure payment,

- or any other method offered on the website.

Payments are secured through a certified payment service provider.

DELIVERY

Products are delivered to the address provided by the customer at the time of ordering.
Delivery times are provided for informational purposes only.

AUDISTIMPHARMA cannot be held liable for delays caused by the carrier.

RIGHT OF WITHDRAWAL

In accordance with Article L221-18 of the Consumer Code, the customer has fourteen (14) days to exercise their right of withdrawal from the date of receipt of the first product.

However, for health and safety reasons, we cannot accept returns of products that have been opened, unsealed, or consumed.

LIABILITY

AUDISTIMPHARMA products should be used in accordance with the instructions on the packaging.

The Company shall not be held liable for:

- misuse,

- improper use,

- or unsolicited medical advice.

It is the customer’s responsibility to consult a healthcare professional in case of doubt, pregnancy, ongoing medical treatment, or a medical condition.

PERSONAL INFORMATION

The personal data collected is processed in accordance with applicable data protection regulations (GDPR).

The customer has the right to:

- access,

- correction,

- opposition,

- and the deletion of their data.

  1. PAYMENT:

The amount owed by the Customer is the amount indicated on the summary order form sent to the Customer’s email address.
All orders are payable in euros.

The Customer warrants that they have all necessary authorizations to use the payment method they have selected when placing the Order.

7.1. Payment Security

To ensure secure transactions, MEDIWEB uses SYSTEMPAY Services for credit card payments.

The Customer's bank details are encrypted on their computer and then transmitted securely to SYSTEMPAY. This process is managed by encryption technology S.S.L. (Secure Socket Layer) in order to protect payment information as effectively as possible, and to ensure that the Customer’s banking information never passes through the Customer’s computer system. This is why MEDIWEB requests the Customer’s information with each new Order.

7.2. Payment Terms

For home delivery, the Customer has the option to pay for their Order:

(I) Online payment by credit card: Carte Bleue, VISA, E Carte Bleue. When paying online by credit card, the Customer must provide the type of credit card, the credit card number, the expiration date, and the security code.
It guarantees:

  • that he is fully authorized to use said Card ;
  • that the Card provides access to sufficient funds to cover all costs resulting from the Order.

7.3. Access the invoice

The Customer’s invoice will be available directly on the Website under the “My Account” section, accessible from the home page. By entering their email address and password, the Customer can print the invoice for their Order. The invoice will be sent to their email address no later than 5 business days after the Products are shipped.

Invoices are archived on a reliable and durable medium so as to constitute a true and lasting copy.

7.4. Failure to pay

MEDIWEB reserves the right to suspend or terminate the account of any Customer who violates the provisions of these Terms and Conditions of Sale.

MEDIWEB reserves the right, in particular, to refuse to make a delivery or fulfill an order from a Customer who has not paid in full for a previous order or with whom a dispute remains unresolved.

  1. DELIVERY:

 Mediweb is committed to delivering its products throughout mainland France. Orders are shipped as quickly as possible. Delivery within mainland France takes 72 hours.

- Shipping to French overseas departments and territories: 5 to 7 business days.

- International shipping: 5 to 8 days, depending on the country.

The products will be shipped to the delivery address provided by the buyer during the ordering process. This may be the buyer’s home address or any other address different from the billing address provided by the buyer.

Mediweb works in partnership with La Poste – Colissimo, which allows buyers to track the delivery of their orders in the event of a claim.

If you are not home when a Colissimo package is delivered to the address provided by the buyer, a delivery notice is normally left in your mailbox, indicating that the package will be delivered again the next day. If you are absent again during the second delivery attempt, another notice will be left in the mailbox—you can then pick up the package at a post office within 10 days of the notice being left.

If the buyer fails to pick up the package at the post office, it will be returned to Mediweb. Customer Service may then contact the buyer to arrange for a reshipment.

Each delivery is considered complete once the ordered products have been made available to the buyer; this can be verified using the delivery tracking system available on the La Poste website for Colissimo deliveries.

When an order is shipped, Mediweb notifies the buyer with a Colissimo tracking number.

In accordance with Article L.138-4 of the Consumer Code, all risks of loss or damage to goods are borne by Mediweb until the consumer takes physical possession of such goods.

“If a package is delivered by the carrier in a defective or damaged condition, the customer is informed of their right to refuse delivery of said package.”

  1. RIGHT OF WITHDRAWAL:

9.1 Scope of the right of withdrawal

In accordance with Article L.121-20 et seq. of the French Consumer Code, every buyer has 14 business days from the date of delivery of their order to return, without having to provide a reason, any item that does not suit them, in its original packaging, with its original tags, in new condition, suitable for resale, and to request a full refund without penalty.

Please note: If you do not follow these steps, your request will be processed, but if we have difficulty verifying your identity, the processing time may be extended.

The refund will be credited to the payment card used by the buyer when placing the order. If the buyer used a deferred-debit card, the refund will not be processed until the end of the month, or, if the buyer prefers, by check.

9.2 Exceptions to the right of withdrawal

For hygiene reasons, products that show signs of use and/or are soiled, as well as products whose protective covers or seals have been opened, may not be returned by the buyer.

  1. Refunds:

Refunds for Products returned in accordance with Articles 8 and 9 of these Terms and Conditions of Sale will be issued in full for the amounts paid, as soon as possible and no later than 14 days from the date on which you notified us of your decision to exercise your right of withdrawal. Refunds will be made, at MEDIWEB’s discretion, by check or bank transfer.
Mediweb will cover the return shipping costs.

  1. Warranty:

 The Products are covered by the statutory warranty, provided that the terms of use have been followed.

Article L211-4 of the Consumer Code
The seller is required to deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery. The seller is also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation, provided that the seller was contractually responsible for such installation or that it was carried out under the seller’s responsibility.

Article L211-5 of the Consumer Code
To be in compliance with the contract, the property must:
(1) Be fit for the use normally expected of a similar item and, where applicable:

  • conform to the description provided by the seller and possess the qualities that the seller presented to the buyer in the form of a sample or model ;
  • possess the qualities that a buyer may reasonably expect based on public statements made by the seller, the manufacturer, or their representative, particularly in advertising or on labeling ;

(2) Or possess the characteristics mutually agreed upon by the parties, or be suitable for any special purpose sought by the buyer, which has been brought to the seller’s attention and which the seller has accepted.

Article L211-14 of the Consumer Code
The seller is liable for any lack of conformity in the product for a period of two years.

Any lack of conformity that becomes apparent within 6 months of the delivery of the goods. When exercising this statutory warranty of conformity, the consumer shall not be required to bear any costs. The seller must first offer to repair or replace the item, and if neither of these solutions is effective within one month of the date of the consumer’s complaint, the consumer may demand a refund.

TheArticle 1641 of the Civil Code
The seller is liable under the warranty for latent defects in the item sold for a period of two years from the discovery of the latent defect that renders the item unfit for its intended use, or that so impairs its use that the buyer would not have purchased it or would have paid a lower price had they known of the defect. It is up to the consumer to provide proof of the existence of a hidden defect. A partial or full refund may be obtained.

Article 1648, paragraph 1, of the Civil Code
A claim arising from latent defects must be brought by the purchaser within two years of the discovery of the defect.

  1. Responsibilities

 The Products comply with current French law and applicable standardsin France.

MEDIWEB makes every effort to ensure that the photographic representations of the products on the Site are as accurate as possible to the products ordered.

MEDIWEB shall not be held liable for any loss of data or files. It is the customer’s responsibility to perform all necessary backups.

MEDIWEB shall not be held liable for:

  • for non-performance of the contract in the event of a stockout or the unavailability of the Product due to a force majeure event ;
  • for any damage resulting from unauthorized access by a third party that has led to a change in the information made available on its Website;
  • for any damages resulting from the use of, access to, or inability to use information contained on its sales website or originating from a website linked to via a hyperlink,
  • and, more generally, for any direct or indirect damages, regardless of their causes, origins, nature, or consequences, including, in particular, costs related to the loss of data or property resulting from access to the Site, the inability to access the Site, or the use of the Site.
  1. Force majeure

 MEDIWEB shall not be liable for any total or partial failure to perform its obligations under this agreement if such failure is caused by an event constituting force majeure, including, but not limited to, disruptions or total or partial strikes affecting postal services, transportation, and/or communication systems, as well as floods or fires.

MEDIWEB will notify the Customer of any event constituting force majeure of which it becomes aware within 5 business days of the event occurring or of MEDIWEB becoming aware of it.

MEDIWEB and the Customer agree that they will consult with each other as soon as possible to determine how to handle the order during the period of force majeure.

If the interruption due to force majeure lasts longer than one month, MEDIWEB and the Client shall be released from their obligations to one another.

  1. Intellectual Property

In accordance with the laws governing copyright and other similar rights, the Site and all elements, trademarks, designs, logos, graphics, etc., contained therein, as well as their compilation, are the exclusive property of MEDIWEB, which grants no license or any right other than the right to view the Site.

The reproduction or use of all or part of these materials is permitted solely for informational purposes for personal and private use; any reproduction or use of copies made for other purposes is expressly prohibited. Any other use constitutes an infringement of intellectual property rights and is punishable under intellectual property law, unless prior written authorization has been obtained from MEDIWEB.

  1. Governing Law – Jurisdiction

These General Terms and Conditions of Sale and the contractual relationship between MEDIWEB and the Customer are governed by French law. In the event of a dispute with professionals or merchants, the courts of Bordeaux shall have exclusive jurisdiction. In the event of a dispute, the French courts shall have exclusive jurisdiction. The consumer may bring an action before: The court of the place where the defendant resides; The court of the place of delivery, or of the place where the defendant resided at the time the contract was concluded or the harmful event occurred.
